Please read these Terms carefully before using Soperai. By accessing or using our platform, you confirm that you have read, understood, and agreed to be bound by these Terms in full.

These Terms and Conditions ("Terms", "Agreement") constitute a legally binding contract between you ("User", "you", "your") and Soperai ("Company", "we", "us", "our") governing your access to and use of the Soperai website, platform, applications, and all related services (collectively, the "Service"). By registering an account, purchasing a plan, or using any part of the Service, you irrevocably agree to these Terms. If you do not agree, do not use Soperai.

1. Acceptance of Terms

By accessing, browsing, registering for, or using the Soperai platform in any manner, you acknowledge that you have read, understood, and agree to be legally bound by these Terms, as well as our Privacy Policy, FAQ, and any other policies incorporated herein by reference.

These Terms apply to all users of the Service, including free-tier users, subscribers, enterprise clients, API users, and any other persons who access the platform in any capacity.

Binding Agreement: These Terms form a legally binding contract. If you are using Soperai on behalf of an organisation or business entity, you represent that you have the authority to bind that entity to these Terms, and "you" refers to both you individually and that entity.

2. Eligibility

To use Soperai, you must meet the following requirements at all times:

  • Be at least 16 years of age (or the applicable age of digital consent in your jurisdiction, if higher)
  • Have the legal capacity to enter into a binding contract in your jurisdiction
  • Not be prohibited from using the Service under any applicable law or regulation
  • Not be located in a country subject to a government embargo or trade sanctions that would prohibit use of the Service
  • Not have had a previous Soperai account permanently terminated for violations of these Terms

By using the Service, you represent and warrant that all of the above conditions are and will remain true throughout your use of Soperai. If any condition ceases to be true, you must immediately stop using the Service and notify us.


3. Accounts & Registration

3.1 Account Creation

To access most features of Soperai, you must register for an account by providing accurate, current, and complete information as requested. You agree to keep this information updated at all times.

3.2 Account Security

  • You are solely responsible for maintaining the confidentiality of your login credentials
  • You are responsible for all activity that occurs under your account, whether or not authorised by you
  • You must notify us immediately of any suspected unauthorised access to your account via our Contact page
  • We strongly recommend enabling two-factor authentication (2FA)

3.3 One Account Per User

Each individual may maintain only one free account. Creating multiple accounts to circumvent usage limits, exploit free credits, or evade a suspension is strictly prohibited and will result in termination of all associated accounts without refund.

3.4 Account Accuracy

Providing false, misleading, or fraudulent information during registration or at any other time is a material breach of these Terms and grounds for immediate account termination without refund.

Soperai is not liable for any loss or damage arising from your failure to maintain account security or from unauthorised use of your account where the breach occurred on your side.

4. Platform Services

4.1 Service Description

Soperai provides access to an integrated platform featuring 300+ AI models and 150+ AI-powered tools across categories including text generation, image creation, video production, voice synthesis, SEO tools, social media tools, e-commerce automation, chatbot building, developer tools, and more.

4.2 Service Availability

We aim to maintain 99.9% uptime for paid plan users. However, we do not guarantee uninterrupted, error-free, or continuously available access to the Service. Planned maintenance, emergency patches, third-party service interruptions, or force majeure events may result in temporary unavailability.

  • Planned maintenance will be announced at least 48 hours in advance
  • Emergency maintenance may occur without advance notice
  • Third-party AI model outages are outside our direct control
  • Service availability may vary by region

4.3 Service Modifications

We reserve the right to modify, suspend, discontinue, or update any feature, tool, AI model, or aspect of the Service at any time, with or without notice. We will make reasonable efforts to communicate significant changes in advance. Continued use after modifications constitutes acceptance of those changes.

4.4 Third-Party AI Providers

Soperai integrates with third-party AI providers (e.g., OpenAI, Anthropic, Google, Mistral). The quality, availability, and behaviour of AI outputs are subject to the capabilities and policies of these providers. We are not responsible for the actions, outputs, or outages of third-party AI services.


5. Billing & Payments

5.1 Subscription Plans

Soperai offers free-tier access and multiple paid subscription plans. Paid plans are available on monthly or annual billing cycles. By subscribing to a paid plan, you authorise Soperai to charge your designated payment method at the applicable rate for your selected plan and billing cycle.

5.2 Auto-Renewal

All paid subscriptions automatically renew at the end of each billing period at the then-current plan rate, unless cancelled before the renewal date. You are responsible for cancelling your subscription prior to renewal to avoid being charged for the next period.

5.3 Payment Methods

We accept major credit/debit cards, PayPal, and select other payment methods. You warrant that you are authorised to use any payment method provided. Soperai uses PCI-DSS compliant payment processors and does not store full card numbers on our servers.

5.4 Failed Payments

If a payment fails, we will attempt to notify you via your registered email. Access to paid features may be suspended until payment is successfully processed. Persistent non-payment may result in account downgrade or termination.

5.5 Price Changes

We reserve the right to modify our pricing at any time. For existing subscribers, price changes will take effect at the start of the next billing cycle following at least 30 days' written notice sent to your registered email address. If you do not agree to the new pricing, you may cancel your subscription before the change takes effect.

5.6 Taxes

Prices displayed may exclude applicable taxes (VAT, GST, sales tax, etc.) depending on your location. You are responsible for all applicable taxes on your use of Soperai. Where required by law, Soperai will collect and remit taxes on your behalf.

Chargebacks: Initiating a chargeback or payment dispute without first contacting Soperai support constitutes a breach of these Terms and will result in immediate permanent account suspension. Any outstanding balance will remain due and may be referred to a debt collection service.

6. Usage & Data Charges

6.1 Usage Tracking

Every AI generation, API call, file upload, or data-consuming operation performed on Soperai is tracked, logged, and recorded against your account in real time. Usage is recorded from the moment a request is initiated — regardless of whether you save, download, or use the resulting output.

Critical: All Usage Is Charged. Any AI generation, API call, image render, video output, voice synthesis, chatbot interaction, or other data-consuming operation you perform is chargeable and non-refundable, even if you are dissatisfied with the output quality, even if the output was not saved or downloaded, and even if you subsequently request a refund. Usage data forms the binding factual record for all billing calculations, including refund deductions.

6.2 Credit-Based Consumption

Paid plans include a quota of platform credits per billing cycle. Different AI models and tool types consume different amounts of credits per use, clearly displayed before generation. Unused plan credits do not roll over to the next billing cycle. Purchased add-on credit packs carry forward for 12 months from purchase date.

6.3 Overage Charges

Where your plan includes overage billing, usage beyond your quota will be charged automatically at the per-unit overage rate for your plan tier, billed on your next invoice. You can set usage alerts in account settings to avoid unexpected overages.

6.4 Disputes Over Usage

Our server-side usage logs are the authoritative record for all billing calculations. If you believe there is an error in your usage records, you must submit a dispute in writing within 30 days of the relevant billing date. Disputes submitted outside this window will not be considered.


7. Refund Policy

Please Read Carefully. Our refund policy is clearly defined and strictly enforced. By making a purchase on Soperai, you acknowledge and agree to all terms set out in this section.

7.1 Money-Back Window

Soperai offers a 72-hour money-back window from the exact date and time your payment is processed. Refund requests submitted within this window will be reviewed and processed, subject to the deductions described below.

7.2 Usage Cost Deduction

Any and all AI usage, API calls, data generations, or other credit-consuming operations performed between the time of payment and the time of refund request submission are strictly non-refundable. These costs will be calculated at standard per-use rates and deducted from your refund amount before processing.

This applies to all usage across all tool categories including but not limited to:

  • Text generation (essays, blog posts, product descriptions, code, etc.)
  • Image generation, editing, upscaling, background removal, and face swap
  • Video generation, talking avatars, and motion control outputs
  • Voice synthesis, text-to-speech, voice cloning, and transcription
  • SEO tool usage including keyword research and site audits
  • Chatbot interactions and deployments
  • Any other feature that consumed platform credits or API calls

7.3 Service Charge Deduction

All approved refunds are subject to a service charge deduction to cover payment processing fees, platform administration costs, and account provisioning during the active period. The service charge will be communicated at the time your refund is processed.

Refund Calculation Formula:
Net Refund = Amount Paid − AI/Data Usage Costs − Service Charge If usage costs and service charges exceed the paid amount, no refund will be issued and no additional amount will be owed to Soperai.

7.4 Refund Processing

Approved refunds are returned to the original payment method. Processing times vary by payment provider:

7.5 Non-Refundable Purchases

The following are non-refundable under all circumstances:

  • Purchases where the 72-hour window has expired at time of request
  • Add-on credit packs that have been partially or fully consumed
  • Enterprise plan setup fees and custom configuration costs
  • Promotional or discounted purchases where terms stated "non-refundable"
  • Accounts suspended or terminated for violation of these Terms
  • Accounts where a chargeback has been initiated with the payment provider
  • Purchases on accounts found to be in breach of these Terms at the time of the refund request

7.6 How to Request a Refund

To submit a refund request, contact our support team via the Contact Us page within the 72-hour window. Include your registered email address, order/payment ID, and a brief reason for your request. Our team will respond within 1–2 business days.


8. Acceptable Use

You may use Soperai only for lawful purposes and in accordance with these Terms. You agree to use the Service in a manner that:

  • Complies with all applicable local, national, and international laws and regulations
  • Does not infringe the intellectual property rights, privacy rights, or other rights of any third party
  • Does not harm, deceive, threaten, harass, or defraud any person or entity
  • Does not attempt to gain unauthorised access to any part of the Service, other user accounts, or connected systems
  • Does not interfere with or disrupt the integrity or performance of the Service
  • Does not violate the policies of any third-party AI provider integrated into Soperai

You are solely responsible for the content of all prompts you submit and all outputs you generate, publish, or distribute using Soperai.


9. Prohibited Conduct

The following activities are strictly prohibited on Soperai and will result in immediate account suspension or permanent termination, at our sole discretion, without refund:

9.1 Illegal & Harmful Content

  • Generating, distributing, or attempting to generate child sexual abuse material (CSAM) or any sexual content involving minors — zero tolerance, reported to authorities
  • Creating content that incites violence, terrorism, genocide, or serious harm to individuals or groups
  • Generating instructions for creating weapons of mass destruction, biological agents, or dangerous substances
  • Producing non-consensual intimate imagery ("deepfakes") of real individuals
  • Creating content intended to facilitate real-world violence against specific named individuals

9.2 Platform Abuse

  • Attempting to reverse-engineer, decompile, or extract source code from the platform
  • Using automated bots, scrapers, or scripts to access the platform without authorisation
  • Circumventing rate limits, usage caps, credit systems, or access controls
  • Reselling or sublicensing access to Soperai without written permission
  • Creating multiple accounts to abuse free tiers, circumvent bans, or exploit promotions
  • Attempting to manipulate, override, or "jailbreak" AI model safety guidelines

9.3 Fraudulent Activity

  • Providing false payment information or using stolen payment credentials
  • Initiating fraudulent chargebacks after legitimately using the Service
  • Impersonating Soperai, our staff, or any other person or entity
  • Using Soperai to generate phishing content, scam materials, or fraudulent communications

9.4 Intellectual Property Violations

  • Using Soperai to systematically reproduce copyrighted content without authorisation
  • Uploading content to which you do not have the rights for use as input to AI tools
  • Using Soperai to train competing AI models without express written consent
Zero Tolerance: Violations involving CSAM, terrorism, or serious threats to human safety will be reported to the relevant authorities immediately. No exceptions. No warnings.

10. Intellectual Property

10.1 Soperai's Intellectual Property

The Soperai platform, including its design, code, branding, trademarks, logos, interface elements, documentation, and all other platform content (excluding user-generated outputs), is the exclusive property of Soperai and its licensors, protected by copyright, trademark, and other applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works from any Soperai-owned content without express written permission.

10.2 Your Input Data

You retain ownership of all text, images, files, and other content you upload or input into Soperai ("Input Content"). By using the Service, you grant Soperai a limited, worldwide, royalty-free licence to process, transmit, and use your Input Content solely to the extent necessary to provide the Service. This licence terminates when your content is deleted or your account is closed.

10.3 Generated Outputs — Your Ownership

Subject to your compliance with these Terms and any applicable third-party AI provider terms, you own the AI-generated outputs created under your account ("Output Content"). You may use Output Content for personal and commercial purposes. However, Soperai makes no guarantee as to the uniqueness or non-infringement of outputs, as similar outputs may be generated for other users using similar inputs.

Your Responsibility: You are solely responsible for ensuring that your use of Output Content does not infringe any third-party intellectual property rights. Soperai accepts no liability for copyright claims arising from your use of AI-generated content.

11. AI-Generated Content

11.1 Nature of AI Outputs

AI-generated content is produced by statistical models and may be inaccurate, incomplete, biased, offensive, or factually incorrect. Soperai does not guarantee the accuracy, reliability, quality, suitability, or legality of any AI-generated output.

11.2 Human Review Responsibility

You are responsible for reviewing all AI-generated outputs before relying on, publishing, distributing, or acting upon them. Do not use AI-generated content as a substitute for professional legal, medical, financial, psychological, or other specialist advice without independent verification.

11.3 No Professional Advice

Nothing generated by Soperai's AI tools constitutes professional advice of any kind. Any content resembling legal, medical, financial, or other professional advice is for informational purposes only and carries no professional liability or guarantee of accuracy.

11.4 Third-Party Model Policies

Your prompts are transmitted to third-party AI model providers for processing. Each provider applies its own usage policies and content filters. Soperai passes through the outputs of these models but is not responsible for the policies, limitations, or refusals of third-party AI providers.

By using Soperai's AI tools, you acknowledge that AI outputs may be imperfect and that you use them at your own risk. Soperai's liability for the quality or nature of AI outputs is expressly disclaimed to the fullest extent permitted by law.

12. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SOPERAI EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING:

  • Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
  • Any warranty that the Service will be uninterrupted, error-free, or secure
  • Any warranty regarding the accuracy, completeness, or reliability of AI-generated content
  • Any warranty that the Service will meet your specific requirements or expectations
  • Any warranty regarding results you may obtain from the use of the Service

Some jurisdictions do not allow the exclusion of implied warranties. In such jurisdictions, the above exclusions apply to the fullest extent permitted by applicable law.


13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SOPERAI, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, LICENSORS, AND THIRD-PARTY PROVIDERS SHALL NOT BE LIABLE FOR ANY:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, goodwill, business opportunities, or anticipated savings
  • Damages arising from reliance on AI-generated content
  • Damages resulting from service interruption, data loss, or unauthorised access to your account
  • Damages arising from the conduct or content of third parties

IN ALL CASES, SOPERAI'S MAXIMUM AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO SOPERAI IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR USD $100, WHICHEVER IS GREATER.

This limitation of liability applies regardless of the legal theory on which the claim is based (contract, tort, negligence, strict liability, etc.) and even if Soperai was advised of the possibility of such damages.


14. Indemnification

You agree to defend, indemnify, and hold harmless Soperai and its affiliates, directors, officers, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, judgements, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

  • Your use of or inability to use the Service
  • Your violation of any provision of these Terms
  • Your violation of any third-party rights, including intellectual property rights or privacy rights
  • Content you input, generate, publish, or distribute using the Service
  • Any false or misleading information you provide
  • Your violation of any applicable law or regulation

Soperai reserves the right to assume exclusive control of any matter subject to indemnification by you, at your expense, and you agree to cooperate with our defence of any such claims.


15. Termination

15.1 Termination by You

You may cancel your subscription at any time from your Account Settings. Cancellation takes effect at the end of your current paid billing period. You may request account deletion by contacting our support team. Account deletion is permanent and irreversible.

15.2 Termination by Soperai

We reserve the right to suspend or permanently terminate your account, with or without prior notice, for any of the following reasons:

  • Violation of any provision of these Terms
  • Engaging in prohibited conduct as defined in Section 9
  • Non-payment of outstanding charges
  • Fraudulent activity or provision of false information
  • Suspected abuse of the platform or its systems
  • Initiation of a chargeback dispute
  • Any activity that, in our sole judgement, creates legal, reputational, or security risk for Soperai

15.3 Effect of Termination

Upon termination, your access to the Service will cease immediately. Any unused credits, remaining subscription time, or saved content associated with a terminated account will be forfeited without compensation. Termination for cause (violation of Terms) renders the account ineligible for any refund.

15.4 Survival

Sections relating to intellectual property, indemnification, limitation of liability, disclaimers, governing law, and any accrued payment obligations will survive the termination of these Terms.


16. Governing Law & Disputes

16.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Soperai is registered, without regard to its conflict of law provisions.

16.2 Dispute Resolution

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the Service, the parties agree to first attempt to resolve the matter through good-faith negotiations. Any dispute not resolved through negotiation within 30 days shall be subject to binding arbitration in accordance with applicable arbitration rules in the governing jurisdiction.

16.3 Class Action Waiver

To the fullest extent permitted by law, you waive any right to participate in a class action lawsuit or class-wide arbitration against Soperai. All claims must be brought on an individual basis.

16.4 Limitation Period

Any claim or cause of action arising out of or related to use of the Service or these Terms must be filed within one (1) year after such claim or cause of action arose, or be forever barred. This limitation applies regardless of any statute or law to the contrary.


17. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will:

  • Update the "Last Updated" date at the top of this page
  • Send a notification to your registered email address
  • Display a prominent platform notice upon your next login
  • Maintain an archive of previous versions available upon request

Your continued use of Soperai after changes to these Terms take effect constitutes your binding acceptance of the revised Terms. If you do not agree to material changes, you must stop using the Service before they take effect.

Minor changes such as typo corrections, clarifications, or formatting updates may be made without formal notice. We recommend reviewing these Terms periodically. The "Last Updated" date at the top of the page will always reflect the most recent revision.
